Terms of Service
Effective October 1, 2026
1. Agreement
These Terms of Service (the "Terms") govern access to and use of the SchoolLife platform and related websites (the "Service"), provided by Pinnacle Solutions Group LLC, doing business as SchoolLife ("SchoolLife" or "we"). Where an institution such as a school, district or other organization (the "Customer") subscribes to the Service, these Terms apply together with the parties' signed service agreement or order form and Data Privacy Agreement ("DPA"). Individual users access the Service under their institution's subscription and agree to these Terms by using it.
Order of precedence. For any personal information of students or staff, the signed DPA and our Privacy Policy govern and control over these Terms. Where a Customer has a signed service agreement, that agreement controls over these Terms in the event of a conflict. Nothing in these Terms gives SchoolLife ownership of, or any right to use, Customer or student data beyond providing the Service.
2. The Service and License
Subject to these Terms and payment of applicable fees, we grant the Customer a limited, non-exclusive, non-transferable right to access and use the Service for its internal educational and operational purposes during the subscription term, for its authorized users.
3. Accounts and Authorized Users
The Service is intended for staff and administrator users authorized by the Customer and, where the Customer enables it, for students and for parents or guardians. The Customer decides which users have access and is responsible for obtaining any consent required for student use, including consent under COPPA for students under 13. The Customer is responsible for its users' compliance with these Terms and for keeping account credentials confidential. Sign-in is through the Customer's identity provider using single sign-on where configured.
4. Customer Data and Student Data
As between the parties, the Customer owns all data that it or its users provide or that we process on its behalf ("Customer Data"), including student data. We process Customer Data only to provide, secure, support and improve the Service for the Customer's authorized purpose, as a service provider and "school official" under FERPA, in accordance with the DPA and our Privacy Policy. We do not sell Customer Data, use it for advertising, or use it for any purpose other than providing the Service.
5. Acceptable Use
Users will not (a) use the Service unlawfully or to infringe the rights of others; (b) attempt to gain unauthorized access to the Service or to other accounts; (c) reverse engineer, resell, or provide the Service to third parties except as permitted; (d) upload malicious code; or (e) use the Service to store or transmit data outside the Customer's authorized purpose.
6. Fees and Payment
Fees, subscription term and billing are set out in the applicable service agreement or order form. Unless otherwise stated, subscriptions are billed annually in advance and are payable under the order form or purchase order. Public schools and other tax-exempt customers are not charged sales tax. Any applicable taxes will appear on the order form.
7. Term, Termination and Data Return
These Terms apply for the subscription term stated in the service agreement or order form. Either party may terminate for uncured material breach on thirty (30) days' written notice. When the subscription ends, we will make Customer Data available for export and will return and/or securely delete it within the period required by the DPA and applicable law, except where the law requires us to retain it. Customers who have paid for a term retain access through the end of that term.
8. Warranties and Disclaimers
We will provide the Service with reasonable skill and care, consistent with prevailing industry standards. Except as expressly stated in these Terms or in a signed service agreement, the Service is provided "as is," and we disclaim all other warranties to the maximum extent permitted by law.
9. Limitation of Liability
Each party's liability, and any limitation on it, is as stated in the Customer's signed service agreement or order form.
10. Indemnification
Indemnification obligations, if any, are as stated in the Customer's signed service agreement or order form.
11. Confidentiality
Each party will protect the other party's confidential information with reasonable care and will use it only to perform under these Terms.
12. Intellectual Property
We and our licensors own the Service, including all software, content and trademarks, including "SchoolLife." The Customer owns its Customer Data. No rights are granted except as expressly stated in these Terms.
13. Compliance with Laws
Each party will comply with the laws that apply to its use or provision of the Service, including student privacy, data protection and accessibility laws.
14. Changes to These Terms
We may update these Terms. We will communicate material changes affecting a Customer's active subscription as required by its service agreement or DPA.
15. Governing Law
These Terms are governed by the laws of the State of New Jersey, without regard to its conflict of laws rules. Where a public entity Customer's signed agreement specifies a different governing law or venue, that agreement controls.
